General Terms and Conditions

1. General

These General Terms and Conditions apply to all offers, quotations, services, and agreements between Nex Automation, registered with the Chamber of Commerce under number 99076209, located in Doetinchem (hereinafter: "Nex Automation"), and its clients (hereinafter: "Client").

Any deviations from these terms are only valid if agreed upon in writing.

2. Services

Nex Automation provides services in the field of AI automation and process optimization, including but not limited to:

  • Development of AI workflows and automations (including n8n-based systems)
  • Development of AI agents and AI-driven systems
  • Integration of existing software and platforms
  • Business process analysis and optimization
  • AI scans and automation assessments
  • Consultancy related to AI and automation

The exact scope of services is defined in a quotation or agreement.

3. Quotations and agreements

All quotations are non-binding and valid for thirty (30) days unless stated otherwise. An agreement is concluded once confirmed in writing by both parties.

For AI scans or assessments, no separate agreement is required. By submitting a request or form, the Client agrees to these General Terms and Conditions and the Privacy Policy.

4. Pricing and payment

  • All prices are exclusive of VAT unless stated otherwise
  • Invoices must be paid within fourteen (14) days of the invoice date
  • For projects exceeding €5,000, Nex Automation may require an advance payment
  • Subscription-based or recurring services are invoiced in advance
  • AI scans are provided free of charge and without obligation

In case of late payment, Nex Automation reserves the right to suspend its services.

5. Execution and delivery

Nex Automation will perform its services to the best of its knowledge and ability. Any delivery timelines are indicative and do not constitute strict deadlines.

After delivery, the responsibility for the use, configuration, and operational deployment of delivered systems lies with the Client, unless Nex Automation explicitly hosts and manages the system under a separate, ongoing agreement.

6. Intellectual property

All intellectual property rights relating to generic components, methodologies, scripts, templates, and reusable building blocks developed by Nex Automation remain the exclusive property of Nex Automation.

Upon full payment, the Client receives a non-exclusive, non-transferable license to use client-specific deliverables solely for internal business purposes, unless otherwise agreed in writing.

Nex Automation retains the right to reuse general knowledge, experience, and non-client-specific components for other clients.

7. AI scans and analyses

AI scans and analyses are based on information available at the time of execution. Results are indicative and intended as a starting point for further evaluation.

Nex Automation does not guarantee that all potential automation opportunities, risks, or limitations are identified. No rights can be derived from scan results or analyses.

8. Use of AI technology

Nex Automation makes use of various AI technologies and third-party AI models. These technologies are supportive in nature and do not provide binding legal, financial, or operational decisions.

The Client remains fully responsible for reviewing, validating, and applying any AI-generated output before use.

9. Liability

Nex Automation is only liable for direct damage resulting from a demonstrable failure in the execution of the agreement, and only in cases where Nex Automation actively hosts and operates the system for the Client under a continuous service agreement.

In all other cases, including but not limited to:

  • One-time projects
  • Delivery without ongoing hosting or management
  • Consultancy services, AI scans, or advisory work
  • Client-managed use of delivered systems

Nex Automation accepts no liability for any resulting damage.

In all cases, liability is limited to the amount paid out by Nex Automation’s liability insurance, increased by any applicable deductible.

Nex Automation is never liable for indirect damages, including but not limited to consequential loss, loss of profit, missed savings, data loss, or business interruption.

10. Privacy and data protection

Nex Automation processes personal data in accordance with its Privacy Policy and applies the principles of privacy by design and privacy by default.

Where Nex Automation processes personal data on behalf of the Client, Nex Automation acts as a data processor and the Client as the data controller. In such cases, a separate Data Processing Agreement (DPA) may apply.

The Client remains responsible for the lawfulness of all personal data processed through systems developed or delivered by Nex Automation.

11. Termination

Either party may terminate the agreement in writing with a notice period of thirty (30) days, unless agreed otherwise.

In the event of early termination, the Client is required to pay for all work performed, costs incurred, and capacity already reserved up to the termination date.

For subscription-based services, the agreed minimum term and notice period apply.

12. Force majeure

Nex Automation is not liable for failures or delays caused by force majeure, including but not limited to outages of third-party services, cloud infrastructure failures, AI service downtime, network disruptions, or government measures.

13. Amendments to the terms

Nex Automation reserves the right to amend these General Terms and Conditions. The most recent version will always be available on the website and will take effect upon publication.

14. Governing law and jurisdiction

All agreements are governed by Dutch law. Any disputes shall be submitted to the competent court in the district where Nex Automation is established.
